I. GENERAL PROVISIONS

1.1. These Rules of Purchase and Sale of Goods (hereinafter - the Rules) establish the general conditions of use in the BDS.LT online store https://www.bds.lt (hereinafter - BDS.LT, e-shop).

1.2. The Rules apply when the BDS.LT customer (hereinafter - the Buyer) chooses, orders and buys the goods offered by BDS.LT or in any other way uses the services provided by the BDS.LT store.

1.3.BDS.LT store organizes trade in goods, performs and provides related services UAB Baltic diagnostic service, company code: 302883915, VAT code: LT100007226714, address: Stulginskio str. 41G, Kaunas.

1.4. The buyer in these Rules is any person who buys goods in the BDS.LT online store. The following persons have the right to use the e-shop services: a) active natural persons, i.e. persons who have reached the age of majority and whose capacity is not restricted by court order; b) legal entities acting through authorized representatives registered in the e-shop in accordance with the procedure established in the Rules.

1.5. The Buyer is not given the opportunity to place an order for goods in the BDS.LT store if he is not familiar with the Rules and / or does not agree with them. When the Buyer places an order in the BDS.LT store, it is considered that the Buyer has read and unconditionally agreed with the Rules.

1.6. BDS.LT reserves the right to suspend, supplement and change these Rules and other documents related to the Rules at its own discretion. Additions or amendments to the rules take effect from the date of their publication, i.e. from the day they are placed in the e-shop system.

1.7. If after the amendment of the Rules the Buyer continues to use the services provided by the e-shop, it is considered that the Buyer agrees with the new version of the Rules, amendments or additions.


II. REGISTRATION AND DATA PROTECTION

2.1. In order to purchase the goods offered in the BDS.LT store, the Buyer must provide the following personal data of the Buyer: name, surname, telephone number, e-mail address and address to which the goods will be delivered, other data necessary for the delivery of the goods. The authorized representative of the legal entity shall additionally provide the name of the legal entity, company code and VAT payer code.

2.2. The same person is prohibited from registering and using the services provided by the e-shop under several names.

2.3. The buyer undertakes not to pass on his registration and login data to third parties. The Buyer is responsible for the preservation of the login data created by him, BDS.LT is not responsible for the actions of third parties performed using the login data created by the Buyer. If a third party logs in to the online store using the Buyer's login details, BDS.LT considers him the Buyer.

2.4. The buyer must provide complete and correct data in the e-shop registration or order form.

2.5. By registering, the Buyer also grants BDS.LT the right to collect, store, systematize, use and process all and any personal data provided by the Buyer directly or indirectly when registering and visiting the BDS.LT store and using its services for the purposes provided for in these Rules. BDS.LT is the controller of the personal data provided by each Buyer, as defined in the legal acts of the Republic of Lithuania.

2.6. The Buyer's personal data will be used to identify the Buyer, sell and deliver the goods, issue accounting documents, return overpayments and / or money for the goods returned by the Buyer, administer debts, fulfill other obligations arising from the sales contract and ensure the Buyer's access to other BDS. LT store services.

2.7. Personal data provided by the Buyer when registering in the e-shop or purchasing goods without registration is stored and processed in accordance with the requirements established by the Law on Legal Protection of Personal Data of the Republic of Lithuania, as well as other legal acts of the Republic of Lithuania.

2.8. The Buyer must read the "Privacy Policy" approved by the Seller and described in the appendix to these Rules. The Buyer expresses his or her consent or disagreement with specific uses of the Buyer's personal data in accordance with the Privacy Policy by sending the information by e-mail. email to@@ticticdiag.lt.

III. ORDERING GOODS AND CONCLUSION OF PURCHASE AND SALE AGREEMENT

3.1. The prices of the goods and the range of goods specified in the goods catalog of the e-store are valid only when purchasing these goods in the BDS.LT e-store. The prices of the goods in the e-shop are included in the value added tax (VAT). Delivery price is not included and is indicated separately when ordering. The delivery price is clearly indicated before the order is confirmed and is stated in the order confirmation itself.

3.2. The electronic catalog of goods is not a specific commercial offer, the prices and quantities quoted are indicative and may vary due to supply disruptions or similar circumstances. In case the balance of the goods is limited, after receiving the Buyer's order, the managers of BDS.LT will send the final offer. If the balance of the goods during the order execution is insufficient, the Buyer will be contacted with the specified contacts.

3.3. BDS.LT has the right to unilaterally, without separate notice, change the prices of goods and share conditions, cancel the shares.

3.3. The purchase and sale agreement between the Buyer and BDS.LT is considered concluded from the moment when the Buyer has formed a shopping cart, indicated the delivery address, selected the payment method and read the e-shop "And" Privacy Policy "), click the" Confirm "button.

3.5. BDS.LT informs about the conclusion of the purchase and sale agreement by sending the order confirmation by e-mail specified by the Buyer. email address. In case the balance of goods in the warehouses is limited and / or the goods are ordered from the manufacturer's warehouses, the purchase and sale agreement between the Buyer and BDS.LT is considered concluded when the Buyer pays the money by transferring it to the bank account specified by BDS.LT.

3.4. If the Buyer does not pay within 1 (one) working day from the submission of the order according to the submitted payment instructions (details) or by choosing the cash payment method when picking up the goods from Baltic Diag, within the prescribed period from the day when BDS.LT informed the buyer that the goods are ready BDS.LT has the right to unilaterally terminate the purchase and sale agreement.

 

IV. RIGHTS AND OBLIGATIONS OF THE BUYER

4.1. The Buyer has the right to purchase goods from BDS.LT in accordance with the procedure established by these Rules.

4.2. The Buyer has the right to withdraw from the contract in accordance with these Rules.

4.3. The Buyer has the right to replace or return the purchased goods in accordance with the procedure established by these Rules.

4.4. The Buyer undertakes to comply with these Rules, the Privacy Policy and not to violate the legal acts of the Republic of Lithuania.

4.5. The Buyer must pay for the ordered goods and accept them in accordance with these Rules. If the Buyer chooses to pick up the goods at the Baltic Diag branch, he must pick them up at the selected Baltic Diag branch within the terms specified in the Rules. After choosing the delivery of the goods to the specified address, the Buyer must be at the specified place, at the specified time and accept the ordered goods.

4.6. Before activating purchased diagnostic equipment and other items that require activation, the purchaser must make sure that the items are fit for use and the purchaser has received the item for which they paid. Activated, used or otherwise damaged goods will not be taken back and no refunds will be given.


V.BDS.LT RIGHTS AND OBLIGATIONS

5.1. BDS.LT has the right to suspend or terminate the activities of BDS.LT. In this case, all accepted and confirmed Buyers' orders are completed and new orders are not accepted.

5.2. BDS.LT has the right to cancel his order without prior notice to the Buyer, if the Buyer has chosen the payment methods provided for in clauses 6.1.1 and 6.1.2 of the Rules and does not pay for the goods within the specified term.

5.3. If the Buyer chooses the payment method provided for in clause 6.1.3 of the Rules, BDS.LT has the right to contact the Buyer with the details specified in the order in case of any uncertainties regarding the information provided in the order. In this case, the term of delivery of the goods shall start to run from the date of contact with the Buyer. BDS.LT has the right to cancel the order without prior notice to the Buyer, if BDS.LT fails to contact the Buyer within 2 (two) business days after the submission of the order or if the Buyer does not provide the information requested by BDS.LT within the specified term.

5.4. If false, inaccurate, misleading or not all requested data is submitted during or after registration, or the Buyer does not comply with other obligations provided for in these Rules, BDS.LT has the right to immediately cancel the registration and delete the Buyer's data or restrict the Buyer's right to use the e-shop. . The Buyer is responsible for the consequences caused by incorrect data provided by the Buyer.

5.5. BDS.LT reserves the right, without prior notice, to suspend or terminate the Buyer's registration and use of the e-shop services if there is reason to believe that the Buyer is engaged in illegal activities or otherwise attempts to impair the operation or stable operation of the e-shop.

5.6. BDS.LT undertakes to make the services provided by the e-store available to the Buyer under the conditions set forth in these Rules.

5.7. BDS.LT undertakes to respect the Buyer's privacy and to process the Buyer's personal data only in accordance with the Rules, the Privacy Policy and the legal acts of the Republic of Lithuania.

5.8. Under the conditions provided for in the Rules, BDS.LT undertakes to present the goods ordered by the Buyer and to accept the goods returned by the Buyer.

5.9. BDS.LT, in case of unforeseen circumstances, is unable to deliver the goods ordered by the Buyer, undertakes to offer the Buyer a similar or as similar a product as possible. If the buyer refuses to accept the offered product, BDS.LT undertakes to return the paid money within 5 (five) working days, if the advance payment has been made, in which case the order is canceled and the purchase and sale agreement is terminated.


VI. METHODS AND TERMS OF PAYMENT

6.1. You can pay for the goods:

6.1.1. using online banking systems at the time of placing the order;

6.1.2. by prepayment by bank transfer within 3 (three) working days from the submission of the order and by providing information on payment by e-mail. email to@@ticticdiag.lt.

6.1.3. cash withdrawals from Baltic Diag.

6.2. If the invoice is paid by a person or company other than the Buyer, the Buyer must enter the payer's data in the notes of the order form, and the Buyer's data and the order number must be entered in the payment destination field of the payment order.


VII. DELIVERY OF GOODS

7.1. At the time of ordering, the Buyer can choose one of the delivery methods.

7.2. If the Buyer chooses the service of delivery of goods to the specified address:

7.2.1. The buyer undertakes to indicate the exact delivery address of the goods;

7.2.2. The buyer undertakes to accept the goods himself. Acceptance of the goods requires the presentation of a valid identity document (identity card, passport or a new model driving license). If the Buyer is unable to accept the goods himself and the goods are delivered to the address specified by the Buyer, the Buyer shall not have the right to make claims to BDS.LT regarding the delivery of the goods to the wrong person;

7.2.3 The goods are delivered by an authorized representative of BDS.LT. After the Buyer has signed the consignment note, it is considered that the consignment has been delivered (delivered) properly;

7.2.4. During the delivery of the goods together with the authorized representative of BDS.LT, the Buyer must check the condition of the goods shipment. If the Buyer notices the violation of the consignment, the Buyer must note this in the consignment note and draw up a free-form violation of the consignment. If the buyer signs the consignment note without comments, it is considered that the goods have been delivered in proper condition. If the delivered goods do not contain any parts or documents, the Buyer must immediately inform BDS.LT.

7.3. If the Buyer chooses to pick up the goods at BDS.LT branch:

7.3.1. The ordered goods must be picked up no later than 5 five days after BDS.LT has informed the Buyer by e-mail that the goods can be picked up.

7.3.2. If the Buyer does not collect the goods within 5 (five) business days, when the payment method in cash was chosen, BDS.LT has the right to unilaterally terminate the purchase and sale agreement and cancel the order;

7.3.3. If the Buyer does not collect the goods within 5 (five) working days when the order has been paid, a storage fee will be charged for each subsequent day of storage of the goods (2% of the value of the goods for each day of storage, but not more than in total). as € 15 (fifteen euros) If the Buyer does not pick up the paid goods for more than 30 days, BDS.LT will send the Buyer a notice about the intention to terminate the purchase and sale agreement within the next 7 (seven) days. terminates the contract of sale, deducts from the money paid by the Buyer for the goods its storage costs, which may not exceed € 15 (fifteen euros), and returns the remaining amount to the Buyer.

7.3.4. The goods can only be picked up by the person who placed the order or the person specified at the time of placing the order. A valid identity document (ID card, passport or a new model driving license) must be presented upon collection. If the goods are picked up by another person, the Buyer must send the details of the person picking up the goods by e-mail. email to@@ticticidag.lt. After transferring the goods on the basis of the data provided by the Buyer, the Buyer has no right to express BDS.LT claims regarding the transfer of the goods to the wrong person.

7.3.5. During the collection of the goods at the Baltic Diag unit, the Buyer will receive the ordered goods with the original packaging (if the goods are packaged).

7.3.6. During the collection of the goods together with the BDS.LT employee, the Buyer must check the quantity and completeness of the goods. After the Buyer has signed the delivery-acceptance document (invoice) of the goods, it is considered that the goods have been delivered correctly, there are no violations, the cause of which is attributable to non-factory defects and discrepancies (such as those that can be identified during external inspection).

7.3.7. If the BDS.LT department does not have the opportunity to inspect, test or otherwise check the quality of the purchased goods. In this case, the contract for the sale of goods is considered to have been concluded electronically.

7.4. BDS.LT delivers the goods to the Buyer in accordance with the terms specified in the descriptions of the goods. These terms are preliminary, moreover, they do not apply in cases when the required goods are not in the BDS.LT warehouse, and the Buyer is informed about the lack of the ordered goods. By approving these Rules, the Buyer agrees that in exceptional cases the delivery of goods may be delayed due to unforeseen circumstances beyond BDS.LT's control. In this case, BDS.LT undertakes to contact the Buyer immediately and agree on the terms and other conditions of delivery. If BDS.LT does not deliver the goods within the additional term, the Buyer may cancel the purchase and sale agreement.

7.5. The risk of accidental loss of or damage to the goods passes to the Buyer from the moment the goods are handed over to the Buyer.


VIII. GOODS QUALITY GUARANTEE

8.1. All products are covered by the manufacturer's warranty terms.

8.2. Quality guarantee is provided for goods sold by BDS.LT:

8.2.1. The warranty is valid from the date of sale of the product.

8.2.2. The warranty period may vary depending on the warranty conditions applied by the individual equipment manufacturer.

8.2.3. The warranty is provided against factory defects (factory defects).

8.2.4.The factory defect is determined according to the individual criteria of each equipment manufacturer.

8.2.5. BDS.LT is not responsible for defects caused by:

- incorrect storage of equipment;

- chemical and mechanical damage to the equipment;

- misuse when equipment is poorly assembled;

- unsafe use;

- misuse when the instructions for use are not followed;

- incorrect and unqualified installation of equipment;

- incorrect installation of equipment in violation of the geometrical position of the equipment;

- incorrect maintenance of the operating mode of the equipment;

- use of equipment when working with or by unqualified personnel;

- use of equipment not in accordance with the manufacturer's recommendations;

- untidy operating environments;

- the warranty also covers the period of non-use of the equipment;

- other causes directly or indirectly caused by the consumer and determined by each producer individually.

8.2.6. When returning the goods, a document confirming the purchase of the goods (invoice) must be submitted. Failure to submit a check or invoice will not result in a warranty inspection and the claim will not be satisfied.

8.2.8. BDS.LT has the right to store the equipment for 14 days until the manufacturer gives an answer regarding possible equipment failure. If the manufacturer does not acknowledge the manufacturing defect, the equipment will be returned to the Buyer.

8.2.9. If a production defect is recognized, BDS.LT undertakes to take such equipment and replace it with new one, if at that time the company no longer has such equipment, to replace similar equipment or return the money paid for the equipment (s) to the Buyer.

IX. RETURNING THE GOODS

9.1. The buyer has the right to cancel the purchase and sale agreement by returning the goods and notifying BDS.LT thereof in writing by e-mail. by e-mail to@@ticticdiag.lt within 14 (fourteen) days from the date of delivery.

9.2. After more than 14 (fourteen) days from the date of delivery of the goods, the return and exchange of the goods shall be carried out in accordance with the 2001 June 11 No. 697 of the “Retail Trade Rules” approved by Resolution 697. July 27 wording.

9.3. Returned goods must be unused, undamaged, non-activated, fully assembled. The goods must be returned in the packaging in which they were delivered. Changes in the appearance of the packaging which were necessary to inspect the goods received shall not be regarded as substantial changes in the appearance of the goods.

9.4. The buyer has no right to withdraw from the sales contract if: the goods are damaged, activated, used or the appearance of the goods has changed significantly.

 

X. FINAL PROVISIONS

10.1. The buyer sends all notifications to BDS.LT e-mail address pagalba@balticdiag.lt.

10.2. BDS.LT sends all notifications to the e-mail address specified by the Buyer or by SMS to the telephone number specified by the Buyer.

10.3. These Rules have been drawn up in accordance with the legal acts of the Republic of Lithuania.

10.4. All disputes arising out of the implementation of these Rules shall be settled by negotiation. If no agreement is reached within 30 (thirty) calendar days, disputes shall be resolved in accordance with the procedure established by the legal acts of the Republic of Lithuania.

10.5 Every Buyer (consumer) has the right to resolve disputes with BDS.LT electronically without going to court. First of all, the Buyer must apply in writing to BDS.LT, if within 14 days from the receipt of the claim, BDS.LT does not respond to the Buyer's claim, or the Buyer is not satisfied with BDS.LT's response, the Buyer may apply to an out-of-court consumer dispute resolution entity, i.e. State Consumer Rights Protection Service (Vilniaus st.25, 01402 Vilnius, e-mail tarnyba@vvtat.lt, tel. 852626751, website www.vvtat.lt), or to its territorial subdivisions in counties or fill in the application form on the EGS platform https : //ec.europa.eu/ods/).
